These Terms of Service ("Terms") govern your access to and use of the website and services provided by Exelix Business Solutions ("Exelix", "we", "us", "our"). By using our website or engaging our services, you agree to these Terms.
Exelix provides financial services including bookkeeping, taxation, financial modelling, payroll, import-export consulting, and AI analytics across India and the United States. Specific services are defined in individual engagement letters or service agreements entered into with each client. The information on this website is for general informational purposes only and does not constitute financial, tax, or legal advice.
Clients engaging Exelix services agree to:
Fees for services are as agreed in the individual engagement letter. Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may incur interest at 1.5% per month. Exelix reserves the right to suspend services for accounts more than 30 days overdue.
Exelix treats all client information as strictly confidential. We will not disclose client data to third parties except as required by law or as necessary to provide the agreed services (e.g., filing returns with tax authorities). All Exelix team members are bound by confidentiality agreements. Clients agree to keep all proprietary Exelix methodologies, templates, and deliverables confidential.
Financial models, dashboards, templates, and analytical frameworks developed by Exelix remain the intellectual property of Exelix. Clients receive a non-exclusive, non-transferable licence to use deliverables for their own internal business purposes. Clients may not resell, redistribute, or sublicence Exelix deliverables without prior written consent.
Exelix's liability for any claim arising from our services is limited to the fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages. Our services are based on information provided by clients — we are not responsible for errors arising from incomplete or inaccurate client-provided data.
Tax laws, regulations, and compliance requirements change frequently in both India and the United States. While we maintain current expertise, clients are responsible for final review and approval of all filings. Exelix does not provide legal advice. For matters requiring legal opinion, clients should engage a licensed attorney.
Either party may terminate an engagement with 30 days' written notice. Upon termination, clients are responsible for fees incurred up to the termination date. Exelix will deliver all completed work and client-owned data within 14 days of termination.
For Indian clients, these Terms are governed by the laws of India and subject to the jurisdiction of courts in Pune, Maharashtra. For US clients, these Terms are governed by the laws of Delaware, USA.
